1. Agreement to Terms
By accessing or using Argus ("Service"), a product of Ekarche operated under the Argus brand ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. More about the parent company at ekarche.com.
2. Description of Service
Argus is an AI-native IT operations platform that helps teams track incidents, problems, changes, on-call rotations, service requests, configuration items, and postmortems. The Service is provided via a web application, REST API, webhook integrations with monitoring tools, and managed connections to communication platforms.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Submit operational data, incident reports, or configuration items you do not have the right to process or share
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Interfere with or disrupt the Service or its infrastructure
- Exceed rate limits or attempt to circumvent usage restrictions
- Resell or sublicense access to the Service without written permission
5. Your Content
You retain all rights to operational data you submit to the Service — including incident reports, runbooks, postmortems, configuration items, on-call schedules, and integration payloads. By submitting data, you grant us a limited license to process it for the sole purpose of providing the Service. We do not use your operational data to train AI models, and we do not pool tenant data across customers.
6. Pricing and Payment
Paid plans are billed monthly. Prices are subject to change with 30 days' notice. Payments are non-refundable except where required by law.
7. Free Trial
New accounts include a 15-day free trial with access to every feature. No payment information is required to start. At the end of the trial, continued use requires a paid plan. We reserve the right to modify trial length and terms at any time.
8. Service Availability
We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. Downtime caused by factors beyond our control (force majeure) is excluded from any SLA commitments.
9. Intellectual Property
The Service, including its design, code, algorithms, and branding, is our intellectual property. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described.
10. Limitation of Liability
To the maximum extent permitted by law, Argus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Argus and its officers, directors, and employees from any claims arising out of your use of the Service or violation of these Terms.
12. Termination
Either party may terminate at any time. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases and your data will be deleted in accordance with our Privacy Policy.
13. Governing Law
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Mathura, Uttar Pradesh, India, where Ekarche Private Limited's registered office is located.
14. Dispute Resolution
Any disputes will first be attempted to be resolved through good faith negotiation. If unresolved within 30 days, disputes shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be in India.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or a notice on our website. Continued use of the Service after changes constitutes acceptance.
